David Englander joined Dynasty as Managing Director, Governance, in January 2006. From 2000 until 2006, he served as Senior Counsel to Akin Gump Strauss Hauer & Feld, one of the country's leading law firms. At Akin, David participated as lead attorney on various M&A and securities transactions. He also led the development and administration of that firm's knowledge management program and was responsible for authoring the firm's client communications regarding M&A matters and securities laws changes. Sequently to his time with Akin, David worked in similar capacity as a firm knowledge manager for McDermott, Will and Emory and White and Case.
Over his 30-year legal career, David has represented a wide variety of clients, including Fortune 500 corporations, private equity funds, middle market public companies and privately held companies. His M&A experience spans a broad range of industry sectors, including gaming, Internet technologies, alternative energy, consumer brands, chemical manufacturing and real estate. He also has significant experience with leveraged buyouts, start-up formation and funding, debt and equity financings, private placements (including Rule 144A and Reg S offerings) and public offerings. In addition, David has represented numerous foreign registrants listed in the United States and has advised foreign issuers in connection with the implications under the U.S. securities laws of dual listings, rights issues and multi-jurisdictional tender offers. In total, he has closed more than 100 transactions valued in excess of $2 billion.
David has regularly advised boards of directors and management on corporate governance best practices and has lectured frequently on the Sarbanes Oxley Act since its inception.
David is a graduate of the Columbia Law School and holds a BS from Cornell University. He resides in New York with his wife, Debra, a noted editor and author of Financial Books and Personal Finance.
